Terms of Service

Welcome to Tailwindup. These Terms of Service ("Terms") govern your access to and use of the Tailwindup service, website, and applications (collectively, the "Service").

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.

Age Requirement: You must be at least 18 years old to use Tailwindup. By using the Service, you represent that you are at least 18 years old.

Changes to Terms: We reserve the right to modify these Terms at any time. We will notify users of material changes via email or a notice on our website. Your continued use of the Service after such changes constitutes acceptance of the modified Terms.

Tailwindup is a universal style conversion tool that enables conversion between CSS, Tailwind CSS, SCSS/Sass, and PostCSS formats.

Service Tiers: Tailwindup offers multiple subscription tiers:

• Free Tier: 50 conversions per day, access to web application, basic conversion features

• Pro Tier: Unlimited conversions, browser extensions (coming soon), VS Code extension (coming soon), batch conversion, conversion history, custom Tailwind configurations, priority support

• Team Tier: All Pro features plus team workspace, up to 10 team members, shared configurations and templates, usage analytics, design system integration, SSO and team management, dedicated support

Service Availability: We strive to provide reliable service but do not guarantee uninterrupted access. The Free tier is provided without a Service Level Agreement (SLA). Paid tiers receive priority support but do not have guaranteed uptime SLAs.

Beta Features: Some features may be marked as "beta" or "coming soon." These features are provided as-is and may be modified or discontinued at any time.

Account Creation: To use certain features of Tailwindup, you must create an account. You may sign up using your email address or through third-party authentication providers (Google).

Accurate Information: You agree to provide accurate, current, and complete information during registration and to update this information to keep it accurate.

Account Security: You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to:

• Use a strong, unique password

• Not share your account credentials with others

• Notify us immediately of any unauthorized use of your account

• Log out from your account at the end of each session when using shared devices

Account Termination: You may terminate your account at any time through your account settings. We reserve the right to suspend or terminate accounts that violate these Terms.

You agree to use Tailwindup only for lawful purposes and in accordance with these Terms. You agree NOT to:

Prohibited Activities:

• Use the Service in any way that violates applicable laws or regulations

• Attempt to circumvent rate limits or usage restrictions

• Use automated scripts, bots, or scrapers to access the Service (except for the official API when available)

• Reverse engineer, decompile, or disassemble any part of the Service

• Upload malicious code, viruses, or harmful content

• Interfere with or disrupt the Service or servers

• Impersonate another user or person

• Collect or harvest personal information of other users

• Use the Service to generate spam or unsolicited communications

Rate Limiting: Free tier users are limited to 50 conversions per day. Attempts to circumvent this limit may result in account suspension. Pro and Team users have unlimited conversions but are subject to fair use policies to prevent abuse.

Enforcement: We reserve the right to investigate violations of these Terms and take appropriate action, including suspending or terminating accounts without notice or refund.

Your Content: You retain all ownership rights to the code and styles you convert using Tailwindup ("Your Content"). By using the Service, you grant us a limited license to process, store, and display Your Content solely for the purpose of providing the Service.

Conversion Output: The output generated by Tailwindup's conversion engine is provided to you for your use. You own the conversion results and may use them without restriction.

Tailwindup IP: The Tailwindup service, including its conversion algorithms, user interface, design, logos, trademarks, and documentation, is owned by Windup Tools and protected by intellectual property laws.

Restrictions: You may not:

• Copy, modify, or create derivative works of the Tailwindup software

• Remove or modify any copyright, trademark, or other proprietary notices

• Use the Tailwindup name, logo, or branding without written permission

Feedback: If you provide feedback, suggestions, or ideas about Tailwindup, we may use them without any obligation to you.

Subscription Plans: Pro and Team subscriptions are offered on a monthly or annual basis. Pricing is displayed on our pricing page and may be changed with notice.

Payment Processing: All payments are processed securely through Stripe. We do not store your credit card information. By subscribing, you authorize us to charge your payment method for the subscription fees.

Billing Cycle: Subscriptions automatically renew at the end of each billing period unless canceled. You will be charged on the renewal date.

Cancellation: You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period. You will retain access to paid features until that date. No partial refunds are provided for unused time.

Refund Policy: We offer a 14-day money-back guarantee for new subscriptions. If you are not satisfied within the first 14 days of your initial subscription, contact support@tail.windup.tools for a full refund. This guarantee does not apply to renewals.

Price Changes: We may change subscription prices with at least 30 days' notice. Price changes will apply to the next billing cycle after the notice period. You may cancel your subscription if you do not agree to the price change.

Taxes: Prices do not include applicable taxes. You are responsible for any sales, use, VAT, or other taxes.

Failed Payments: If a payment fails, we will attempt to charge your payment method multiple times. If payment cannot be processed, your subscription may be downgraded to the Free tier.

"AS IS" Service: THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Conversion Accuracy: While we strive for high conversion accuracy, Tailwindup does not guarantee that conversions will be 100% accurate or error-free. Complex styles, custom configurations, or edge cases may not convert perfectly. You are responsible for reviewing and testing all conversion output.

No Guarantee of Availability: We do not guarantee that the Service will be available at all times or error-free. The Service may be unavailable due to maintenance, updates, technical issues, or factors beyond our control.

Beta Features: Features marked as "beta" or "coming soon" are experimental and provided without warranty. Beta features may be modified, discontinued, or have limited functionality.

Third-Party Services: Tailwindup relies on third-party services (Supabase, Vercel, Stripe). We are not responsible for outages or issues caused by these third-party services.

Data Loss: While we implement backup and security measures, we do not guarantee against data loss. You are responsible for maintaining backups of important code and conversions.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WINDUP TOOLS AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR:

Indirect Damages: ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, LOST DATA, OR LOSS OF GOODWILL.

Direct Damages: ANY DIRECT DAMAGES EXCEEDING THE AMOUNT YOU PAID TO TAILWINDUP IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY.

Specific Limitations: WE ARE NOT LIABLE FOR:

• Errors, mistakes, or inaccuracies in conversion output

• Data loss or corruption

• Unauthorized access to or use of your account

• Service interruptions or availability issues

• Third-party actions or content

• Any damages resulting from your use of or inability to use the Service

Basis of the Bargain: YOU ACKNOWLEDGE THAT THIS LIMITATION OF LIABILITY IS A FUNDAMENTAL ELEMENT OF THE BASIS OF THE BARGAIN BETWEEN YOU AND WINDUP TOOLS. THE SERVICE WOULD NOT BE PROVIDED WITHOUT SUCH LIMITATIONS.

Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability, so some of the above limitations may not apply to you.

You agree to indemnify, defend, and hold harmless Windup Tools, its affiliates, officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or related to:

• Your use of or inability to use the Service

• Your violation of these Terms

• Your violation of any rights of another party

• Your Content or any content you submit, post, or transmit through the Service

• Any fraudulent, illegal, or abusive activity conducted through your account

This indemnification obligation will survive the termination of your account and these Terms.

Your Right to Terminate: You may terminate your account at any time by contacting support@tail.windup.tools or through your account settings.

Our Right to Terminate: We may suspend or terminate your access to the Service, with or without notice, for:

• Violation of these Terms

• Fraudulent or illegal activity

• Abuse of the Service or disruptive behavior

• Non-payment of subscription fees (for paid accounts)

• Extended periods of inactivity

Effect of Termination: Upon termination:

• Your right to access and use the Service immediately ceases

• We may delete your account data, including conversion history and configurations, after a reasonable grace period (typically 30 days)

• You remain liable for any outstanding fees or charges

• Provisions of these Terms that by their nature should survive (including intellectual property, disclaimers, limitation of liability, and indemnification) will survive termination

Data Retrieval: We recommend exporting your conversion history and configurations before terminating your account. After termination, we may not be able to retrieve your data.

Governing Law: These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

Jurisdiction: You agree to submit to the personal and exclusive jurisdiction of the state and federal courts located in Delaware for the resolution of any disputes.

Informal Resolution: Before filing a claim, you agree to contact us at legal@tail.windup.tools to attempt to resolve the dispute informally. We will attempt to resolve disputes in good faith within 30 days.

Time Limitation: Any claim arising out of or related to these Terms or the Service must be filed within one (1) year after the claim arose. Claims filed after this period are permanently barred.

Class Action Waiver: You agree to resolve disputes with Tailwindup on an individual basis and not as part of a class action, consolidated, or representative proceeding.

Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Windup Tools regarding the Service and supersede all prior agreements.

Severability: If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

No Waiver: Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.

Assignment: You may not assign or transfer these Terms or your account without our prior written consent. We may assign or transfer these Terms without restriction, including in connection with a merger, acquisition, or sale of assets.

Force Majeure: We are not liable for any delay or failure to perform due to causes beyond our reasonable control, including acts of God, war, terrorism, labor disputes, or internet service failures.

Headings: Section headings are for convenience only and do not affect interpretation of these Terms.

Translation: These Terms may be translated into other languages. In case of conflict, the English version prevails.
